1. Introduction & Acceptance

These Terms of Service ("Terms") constitute a legally binding agreement between **Al Ambra Perfumes Manufacturing LLC** ("the Company," "Manufacturer," "we," "us," or "our") and the corporate entity or individual ("Client," "Buyer," "you," or "your") engaging our industrial services.

Al Ambra is a certified B2B perfume manufacturing facility headquartered in Dubai Investment Park-1, Dubai, UAE. By requesting a quotation, approving a Proforma Invoice, or initiating a production cycle, you explicitly agree to be bound by these Terms. These Terms govern all industrial relationships, including but not limited to Private Label Manufacturing, White Label Supply, Contract Manufacturing, and Custom R&D. We operate exclusively as a B2B entity; our services are not intended for consumer retail use without professional brand representation.

2. Scope of Industrial Services

Al Ambra provides a vertically integrated manufacturing ecosystem. The specific scope of your project will be defined in a written Technical Proposal or Quotation.

Private Label

Turnkey brand development including R&D, component sourcing, and mass production.

White Label

Access to Al Ambra's pre-formulated, high-performance fragrance library for rapid launch.

Contract Mfg

Industrial production using formulas and technical specifications provided by the Client.

Custom R&D

Bespoke olfactive engineering and stability testing in our in-house laboratory.

Bulk Production

High-volume manufacturing of fragrance compounds or retail units up to 1M units/month.

Packaging

Automated filling, high-precision crimping, and computerized secondary packaging.

3. Quotations, Orders & MOQs

Validity: All quotations provided by Al Ambra are valid for a period of thirty (30) calendar days from the date of issue, unless otherwise specified in writing. Prices are subject to adjustment thereafter based on raw material fluctuations (e.g., European fragrance oil prices or glass costs).

Order Confirmation: A production project is deemed 'Confirmed' only upon the Manufacturer's receipt of a signed Proforma Invoice and the required initial deposit. Oral agreements or email correspondence without financial commitment do not constitute a binding production slot.

MOQ Requirements: Our facility is engineered for industrial scale. Standard Minimum Order Quantities (MOQ) start at 500 units per fragrance SKU for Private/White Label. Contract manufacturing MOQs are determined by the complexity of the automated line setup and typically range from 5,000 to 1,000,000 units.

Payable upon order confirmation to initiate raw material procurement and lab sampling.

Ex-Factory Balance

Payable upon completion of production and before the release of goods from our Dubai facility.

Currency: AED or USD • Bank Transfer Only • Prices exclude VAT, Customs Duties, and Shipping.

5. Production & Timelines

Estimated production timelines for Private Label projects range from **4 to 8 weeks** from the date of final sample approval and component arrival. For repeat White Label or Contract orders, timelines are typically optimized to **2 to 4 weeks**.

Timeline Dependencies

Timelines are 'Estimates' and are heavily dependent on: (a) Client approval speed, (b) Global lead times for custom glass or pumps, (c) International shipping of European oils, and (d) Mandatory maceration/maturation periods required for fragrance stability. Al Ambra is not liable for delays caused by third-party component suppliers or customs clearance.

7. Intellectual Property (IP)

Client Ownership

The Client retains 100% ownership of their brand name, trademarks, logos, and creative artwork. For Contract Manufacturing, the Client retains ownership of their proprietary formulas provided to the Manufacturer.

Manufacturer Ownership

Al Ambra retains ownership of all 'Library Formulas' used in White Label supply. For Private Label, the formula becomes the Client's IP only upon full payment and explicit written transfer of rights. Industrial manufacturing processes and 'know-how' remain our exclusive property.

8. Confidentiality & Non-Disclosure

Confidentiality is the bedrock of our B2B industrial operations. Al Ambra maintains strict protocols to protect Client formulations, commercial strategies, and project data. We offer standardized B2B Non-Disclosure Agreements (NDA) for all projects involving proprietary formula development or high-volume contract manufacturing. Documentation is stored in secured digital and physical environments, accessible only to authorized R&D and production personnel.

9. Regulatory Compliance

Manufacturer Responsibility

We ensure the production environment complies with ISO 9001:2015, GMP (ISO 22716), and IFRA safety standards. We provide technical dossiers including SDS, MSDS, and IFRA certificates for all manufactured batches.

Client Responsibility

The Client is solely responsible for local product registration in the target destination country (e.g., Montaji in UAE, CPNP in EU, FDA in USA). Al Ambra provides the supporting documentation, but the Client must manage local legal compliance and retail notification.

11. Export, Shipping & Risk

All shipments are coordinated on an **Ex-Factory (EXW) Dubai** basis unless otherwise agreed in writing (e.g., FOB or CIF). Risk of loss or damage transfers to the Client once the goods leave our facility or are handed over to the Client's appointed freight forwarder. The Client is responsible for all shipping costs, insurance, import duties, and customs clearance in the destination market. Al Ambra provides 100% accurate export documentation to facilitate smooth trade, but we are not liable for customs delays or cargo rejections in foreign jurisdictions.

13. Limitation of Liability

Contractual Limitation

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL AGGREGATE LIABILITY OF AL AMBRA PERFUMES MANUFACTURING LLC FOR ANY CLAIMS ARISING FROM THESE TERMS OR THE PERFORMANCE OF MANUFACTURING SERVICES SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY THE CLIENT FOR THE SPECIFIC PRODUCTION BATCH IN QUESTION. WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES, INCLUDING LOSS OF PROFITS, MARKET SHARE, OR BRAND REPUTATION.

15. Governing Law & Jurisdiction

These Terms and all industrial agreements between Al Ambra and its Clients shall be governed by and construed in accordance with the **Federal Laws of the United Arab Emirates** and the local laws of the **Emirate of Dubai**. Any disputes arising from these Terms that cannot be resolved through amicable B2B consultation shall be subject to the exclusive jurisdiction of the Courts of Dubai, UAE.
